Terms of Service
These Terms of Service ("Terms") govern the use of EHS Axis, a cloud-based environment, health and safety (EHS) software (the "Service") operated by Cyber in Systems Korlátolt Felelősségű Társaság (Cyber in Systems Kft.) (the "Provider"). Effective: 2026-09-29. Previous versions are available on request. This English text is a translation; in case of discrepancy the Hungarian version prevails.
1. The Provider
Cyber in Systems Korlátolt Felelősségű Társaság (Cyber in Systems Kft.) · registered office: 4183 Kaba, Baross Gábor utca 46., Hungary · company reg. no.: 09-09-029715 ([registry court]) · tax ID: 26328038-2-09 · e-mail: info@ehsaxis.com · hosting provider: [hosting provider name, address, e-mail]. Full details: Legal Notice.
2. Definitions
- Customer: the business or organisation (e.g. company, sole trader, public body, association) that registers for and/or subscribes to the Service, acting for purposes relating to its trade, business, craft or profession. The Service is available to businesses and organisations only, not to consumers; the registering person represents that they are authorised to act on behalf of the Customer.
- Workspace: the Customer's separate data area in the Service.
- User: a natural person invited to the Workspace by the Customer; the registering person is the Workspace owner.
- Customer Data: all data recorded or uploaded to the Service by the Customer or its Users (non-conformities, actions, audits, risks, equipment, employees, training, photos, documents) and data generated from them in the Service.
3. Highlighted terms
Under Section 6:78 of the Hungarian Civil Code we draw your attention to the following terms, which you separately accept on registration:
- subscriptions renew automatically at the end of each period until cancelled (Section 6);
- the Service is for businesses and organisations only; consumer rights (e.g. the 14-day right of withdrawal) do not apply (Section 2);
- fees already paid are non-refundable, except for termination due to the Provider's breach or an adverse change of these Terms (Section 6);
- in case of non-payment the Workspace becomes read-only; after termination Customer Data are deleted as set out in Section 12;
- the Provider's liability is limited (Section 11);
- the Provider may change fees and these Terms unilaterally, with prior notice and a right to terminate (Section 15);
- the Provider may create anonymised, aggregated statistics from which neither the Customer nor any individual can be identified (Section 8).
4. Conclusion of the contract
The contract is concluded electronically by registering at https://ehs.dev.cyberin.hu (completing the form, accepting these Terms and clicking "Sign up"); a paid subscription is concluded by placing an order in the Service (Settings › Subscription) and – for online payment – paying the fee. Input errors can be corrected on the form before submission and afterwards on the Profile and Company pages. The contract is not a written contract and is not filed by the Provider; the current Terms are available on the website and can be printed and saved. Registration and orders are confirmed by e-mail without delay. The contract language is Hungarian or English. The Provider is not bound by a code of conduct.
5. Free trial
After registration the Service can be used free of charge for 30 days with full functionality and without a payment card. The trial ends automatically and does not convert into a paid subscription. It is followed by a 7-day grace period, after which the Workspace becomes read-only; if no subscription is ordered, Customer Data are deleted as set out in Section 12. During the trial the Service is provided "as is"; the Provider's liability is excluded except for the cases that cannot be limited under Section 11. Chapter VI of Regulation (EU) 2023/2854 (Data Act) does not apply to the free trial (Article 31(2)); data export remains available free of charge.
6. Plans, fees, payment, renewal, cancellation
Fees. Plans (Starter, Pro, Enterprise), user limits and fees are shown on the Pricing page and in the Service under Settings › Subscription. Fees are net prices in EUR (in USD for Customers registered in the United States), plus VAT as required by law (27% for Hungarian Customers; reverse charge for EU businesses with a valid VAT number; no Hungarian VAT outside the EU). With annual billing the fee equals 10 monthly fees.
Payment, invoices. Online payments are made in advance by card through Stripe Payments Europe Ltd.; the Provider stores no card data. Custom (Enterprise) orders are invoiced with 8 days' payment term by bank transfer. Invoices are issued electronically and sent to the billing e-mail address. For late payment, interest under Section 6:155 of the Hungarian Civil Code and a EUR 40 recovery fee apply.
Renewal, cancellation. Subscriptions run monthly or annually and renew automatically for the same period until cancelled. You can cancel at any time without giving reasons in the Service (Settings › Subscription › Manage subscription) or by e-mail; cancellation takes effect at the end of the current billing period and the Service remains available until then. Cancellation and the end of access are shown in the Service and confirmed by e-mail. We send a reminder at least 7 days before an annual subscription renews.
Refunds. Fees already paid are non-refundable, except for termination due to the Provider's material breach or an adverse change under Section 15 – in these cases the fee for the remaining period is refunded pro rata.
Price changes. The Provider may change fees at most once a year with at least 30 days' notice by e-mail. New fees apply from the next billing period at the earliest; if you do not accept them, you may cancel free of charge before they take effect.
Plan changes. Upgrades are possible at any time in the Service or on request; we inform you of the price difference before the change. Downgrades take effect from the next billing period; if the Workspace exceeds the limits of the new plan (e.g. number of users), this must be resolved before the change.
7. Availability, maintenance, support, backups
The Provider aims at a monthly average availability of 99.5%, excluding scheduled maintenance and causes outside the Provider's control (e.g. internet providers, force majeure). Scheduled maintenance is announced at least 24 hours in advance in the Service or by e-mail and preferably carried out between 20:00 and 06:00 CET; urgent security fixes may be applied without notice. Availability is a target; service credits are offered only under an individual (Enterprise) agreement.
Support: in the Service (Support menu) and at info@ehsaxis.com, on business days 9:00–17:00 CET; first substantive reply by the next business day. The Provider backs up the database and uploaded files daily and keeps backups for 14 days.
8. Customer Data
Customer Data belong to the Customer. The Customer grants the Provider a non-exclusive right, for the term of the contract, to use Customer Data solely to provide the Service (storage, display, processing, backup, support). The Provider may create anonymised, aggregated statistics about the use of the Service and from Customer Data to improve and present the Service; neither the Customer nor any individual can be identified from them. The Provider does not train artificial intelligence models on Customer Data and does not provide them to third parties for that purpose.
The Customer is responsible for the lawfulness of Customer Data, in particular for informing employees and persons appearing in photos, and for recording special categories of data (e.g. health data related to an accident) only with a legal basis and to the extent necessary. For personal data the Customer is the controller and the Provider the processor – see the Data Processing Agreement.
9. Data export and switching
The Customer may export Customer Data at any time in the Service free of charge (Excel, CSV, PDF), and the owner can download the complete Workspace – including uploaded files – in a machine-readable format (Settings › Full export); on request we provide it as well. The detailed rules of switching to another provider or to on-premises infrastructure, the exportable data, deadlines and data centre locations are set out on the Data Portability & Switching page, which forms part of these Terms under Article 25 of Regulation (EU) 2023/2854 (Data Act). The Provider charges no fees for switching or data export.
10. Acceptable use
You must not use the Service to store unlawful content or content infringing the rights of others; to test or circumvent its security (without the Provider's prior written permission); to upload malicious code; to overload the system or perform automated mass data collection (scraping); to reverse-engineer or copy the Service or use it to build a competing product; or to pass access on to third parties. Users must keep their credentials confidential; the Customer is responsible for all activity in its Workspace.
11. Liability
Professional EHS responsibility. The Service is a record-keeping and work-organisation tool: it does not replace the work of a health and safety, environmental or quality professional, the professional content of risk assessments or regulatory compliance, which remain the Customer's responsibility. Deadline reminders are an aid and do not guarantee that deadlines are met.
Limitation. The Provider is not liable for indirect or consequential damages, lost profits, or data lost outside the Service without backup by the Customer. The Provider's aggregate liability for breach of contract is limited to the fees paid by the Customer in the 12 months preceding the event giving rise to the damage.
Liability that cannot be limited. Under Section 6:152 of the Hungarian Civil Code, liability for intentional or grossly negligent breach and for breach causing harm to life, physical integrity or health cannot be excluded or limited.
The Customer is responsible for content it uploads and indemnifies the Provider against third-party claims arising from it.
12. Suspension, termination, deletion of data
Suspension. After notice, the Provider may restrict access (read-only mode) if a fee due is not paid within 7 days after the due date, and may suspend access immediately if use directly endangers the security of the Service or other customers. Customer Data are not lost during suspension and can be exported.
Termination. The Customer may end the contract at any time by cancelling under Section 6. Either party may terminate with immediate effect if the other party materially breaches its obligations and fails to remedy the breach within 15 days of written notice, or in case of the other party's insolvency. If the Provider discontinues the Service it gives at least 90 days' notice and refunds unused prepaid fees pro rata.
Data after termination. After the subscription or the trial ends, the Workspace remains available read-only and exportable for 90 days; thereafter the Provider permanently deletes Customer Data – after prior notice by e-mail – and removes them from backups within a further 14 days. On the Customer's request deletion takes place earlier. Invoices and data required by law are kept by the invoicing system for the statutory period (8 years).
13. Intellectual property, confidentiality, references
The Service – its source code, interface, design, built-in templates and documentation – is the Provider's intellectual property; the Customer receives a non-exclusive, non-transferable, non-sublicensable right of use for the term of the contract. The Provider may use suggestions for improvement free of charge. Each party keeps the other's trade secrets (without time limit) and other confidential information (for 3 years) confidential after termination. The Provider will name the Customer or use its logo as a reference only with the Customer's prior written consent.
14. Force majeure
Neither party is liable for delay or failure caused by circumstances beyond its control that could not be foreseen (e.g. natural disaster, epidemic, war, acts of authorities, failure of utility or internet infrastructure, such events affecting the Provider's sub-processors, cyber-attacks despite due care). If force majeure lasts longer than 60 days, either party may terminate with immediate effect; unused prepaid fees are refunded pro rata.
15. Changes to these Terms and fees
The Provider may amend these Terms due to changes in law or regulatory requirements, development of the Service, security reasons or changes in sub-processor terms. We notify you of changes at least 30 days before they take effect by e-mail and in the Service. If a change is adverse to the Customer, the Customer may terminate free of charge before it takes effect and unused fees are refunded pro rata; otherwise continued use of the Service constitutes acceptance. Changes solely in the Customer's favour or required by law may take effect immediately.
16. Notices, miscellaneous
The parties communicate primarily by e-mail: the Provider writes to the Workspace owner's and the billing e-mail address, the Customer to info@ehsaxis.com; an e-mail is deemed received on the business day following sending. The Provider may assign its rights and obligations to a successor or affiliate, with notice to the Customer; the Customer may assign only with the Provider's consent. If any provision is invalid, the remaining provisions remain in force. In case of conflict the following order applies: individual written agreement, Data Processing Agreement (for personal data), these Terms, policies published in the Service. These Terms include: Privacy Policy, Data Processing Agreement, Cookie Policy, Data Portability & Switching.
17. Governing law, disputes
The contract is governed by Hungarian law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The parties first seek to settle disputes amicably; failing that, the court competent for the Provider's registered office has exclusive jurisdiction.
